These Terms of Service (the "Terms") are a public offer within the meaning of Article 437 of the Civil Code of the Russian Federation and set out the terms of use of the Taska service, available at taska.be and its related subdomains, pages and applications (the "Service").
By starting to use the Service — including by registering, signing in, taking out a subscription or otherwise interacting with the Service — you (the "User") fully and unconditionally accept these Terms. If you do not agree with any of the terms, you must stop using the Service.
1. General provisions
The Terms are concluded between the User and the Operator of the Service, whose details are set out in the "Operator details" section.
Acceptance of this offer (full and unconditional acceptance of the terms) is any of the following: registering an account, signing in, taking out or renewing a subscription, payment, or the actual use of any functionality of the Service.
The Operator may engage third parties to perform its obligations under the Terms (hosting, payment and other services) while remaining liable to the User within the limits set out in these Terms.
2. Terms and definitions
- "Service" (Taska) — the software and its related website, web application and mobile applications for managing tasks, projects and collaboration, together with related materials and services provided by the Operator.
- "Account" — the set of data about the User required to identify them and grant access to the Service.
- "Space", "Project", "Task" — functional objects of the Service created and managed by the User.
- "User Content" — any data, texts, files, images and other materials that the User uploads, creates or places in the Service.
- "Subscription" — access to the paid functionality of the Service for a certain period on the terms of the selected plan.
3. Information about the Operator
The Service is provided by a self-employed individual (a professional-income taxpayer) — Podprugin Ilya Alekseevich (Подпругин Илья Алексеевич), INN 380897188680. Full details are set out in the "Operator details" section.
4. Subject of the agreement
The Operator grants the User the right to use the Service on a simple (non-exclusive) licence basis, in the scope and for the term determined by the selected plan, and the User undertakes to use the Service in accordance with these Terms.
The right of use is granted solely for lawful purposes of task management and collaboration. Any other use is permitted only with the Operator's prior written consent.
5. Registration and account
To access the functionality of the Service, the User registers, providing accurate and up-to-date data. The User must keep this data current.
The User is solely responsible for keeping their credentials (login and password) confidential and is liable for all actions taken using their account. On discovering unauthorised access, the User must notify the Operator without delay.
The Service may be used by persons aged 18 or over who have the necessary legal capacity, or by legal entities through authorised representatives. By registering, the User confirms that they meet this requirement.
A single User may have one account, unless the plan terms expressly provide otherwise. Transferring an account to third parties without the Operator's consent is not permitted.
6. Rules of use
The User undertakes not to, among other things:
- breach the law of the Russian Federation or the rights and lawful interests of third parties, including intellectual-property rights;
- place in the Service information whose distribution is prohibited or restricted (including unlawful, offensive, harmful or misleading information);
- upload malicious code or take actions that disrupt the normal operation of the Service or place an excessive load on the infrastructure;
- gain, or attempt to gain, unauthorised access to the Service, other users' accounts or the Operator's data;
- decompile, disassemble or modify the Service, or carry out automated data collection (scraping) or circumvent technical restrictions and plan limits;
- use the Service to send spam or phishing or for other unfair practices.
7. Plans, payment and receipts
The Service is provided under free and/or paid plans. The current list of plans, their scope, limits and prices is published on the Service website and forms an integral part of these Terms.
All prices are stated in Russian roubles. A subscription is paid in advance for the selected period. Access to the paid functionality is granted after payment is received. When the paid period ends, access to the paid functionality stops unless the subscription has been renewed.
Payments are processed through the YooKassa payment service. The available payment methods are shown on the payment page. Full bank card details are entered on the payment provider side and are neither transmitted to nor stored by the Operator: the Operator only receives an anonymised payment method identifier and its mask (card type and last four digits).
The Operator applies the "Professional Income Tax" regime and is not a VAT payer, so prices are stated without VAT. Upon receiving payment the Operator issues a receipt in the manner set out by Federal Law No. 422-FZ of 27.11.2018 and sends it to the User electronically to the email address in the account. A link to the receipt is also available in the billing section of the personal account.
A team subscription is paid per seat. A seat is occupied by every member of a team space holding the Owner, Administrator or Member role, as well as by any person granted access to individual projects of the space with one of those roles. Members holding the Guest role and request submitters do not occupy seats and are not charged.
A member added to a team space in the middle of a paid period receives access immediately. The price of that seat for the remainder of the paid period is determined pro rata by the number of full days. By adding a member, the User agrees to pay for that seat on the terms of this section.
For subscriptions paid for a period longer than one month, the price of the seat is invoiced separately at the time the member is added. Such an invoice is payable within 7 (seven) calendar days of its issue date. Members added within the same day may be combined into a single invoice.
For monthly subscriptions, and whenever fewer than 30 (thirty) calendar days remain until the end of the paid period, the price of the added member’s seat is included in the renewal invoice as a separate item and no separate invoice is issued.
Days during which a member’s access was restricted under Section 15 of this Agreement are not included in the price of that seat. Any invoice previously issued is voided in that case and a new one is issued for the amount reduced by the value of those days.
When a member is removed from a team space, the price of that seat is determined by the actual number of full days of participation. Amounts paid for seats in respect of a period during which a member was removed are not refundable: the freed seat may be occupied by another person until the end of the paid period.
A renewal invoice is issued 3 (three) calendar days before the end of the paid period. It includes the price of the next period, together with the price of seats of members added during the expiring period and any adjustment for removed members. The invoice is paid in the billing section of the personal account.
If the renewal invoice is not paid by the end of the paid period, access to the paid functionality ends and the space is moved to the free plan. Data and Content are not deleted; materials exceeding the free plan limits remain available for viewing. Within 30 (thirty) calendar days after the end of the paid period the User may pay the issued invoice: the subscription is resumed on the terms stated in the invoice, and the new paid period runs from the date of payment.
The User may decline the renewal, including after the paid period has ended, using the “Stay on the free plan” action in the billing section of the personal account. If the renewal is declined, or if the renewal invoice is not paid within 30 (thirty) calendar days after the end of the paid period, that invoice is cancelled and is not payable.
The price of seats of members added during the expired period is payment for services actually rendered and is payable regardless of whether the subscription is renewed (Articles 779 and 781 of the Civil Code of the Russian Federation). When the renewal invoice is cancelled, this amount is invoiced separately. The Operator sends reminders about the unpaid invoice to the email addresses of the space owner and administrators.
Until the invoice referred to in the preceding paragraph is paid, the Operator may decline payment for a new subscription for the space concerned (Article 328(2) of the Civil Code of the Russian Federation). Use of the free plan and purchase of other services, including TaskAI spark packs, are not restricted.
TaskAI spark packs are paid for separately from the subscription, are not a subscription and are not renewed automatically. Sparks are credited once payment is received and are valid for 12 (twelve) months from the date of payment. A pack may be purchased on any plan, including the free plan, and regardless of any unpaid subscription invoices; paying for a pack neither settles a subscription debt nor renews the subscription.
8. Automatic subscription renewal
Automatic renewal (recurring payment) is enabled solely with the User's explicit consent, given by a separate action when subscribing or in the billing settings of the personal account. Without such consent the subscription is not renewed automatically, the payment method is not stored, and access to the paid functionality ends when the paid period expires.
When automatic renewal is enabled, no later than 24 hours before each charge the Operator sends the User a notification to the email address in the account. The notification states the amount to be charged, the charge date, the plan name and a link to opt out of automatic renewal.
The User may opt out of automatic renewal at any time, without giving reasons and without contacting support. The opt-out is made electronically by any of the following means:
- the "Auto-payment" toggle in the billing settings of the personal account;
- the opt-out link in the upcoming charge notification — no sign-in required;
- a message to support@taska.be or Telegram @i_podprugin.
From the moment the opt-out is received the Operator stops charging and deletes the stored payment method identifier. Removing (detaching) the payment method is treated as an opt-out from automatic renewal. Cancelling the subscription also terminates the consent to recurring payments.
Opting out of automatic renewal does not end the period already paid for: access to the paid functionality continues until it expires.
9. Refunds
The User may withdraw from these Terms at any time, subject to reimbursing the Operator for the costs actually incurred in performing the contract (Article 32 of the Law of the Russian Federation "On Protection of Consumer Rights", Article 782 of the Civil Code of the Russian Federation).
Where a User who is a natural person withdraws from the subscription before the paid period ends, the part of the amount paid that corresponds to the unused remainder of the period is refunded, less the costs actually incurred by the Operator. The unused remainder is counted in calendar days from the date the withdrawal request is received.
A full refund is made where payment was charged after the User opted out of automatic renewal or removed the payment method, as well as where access to the paid functionality could not be provided due to the Operator's fault.
A refund request is sent to support@taska.be or Telegram @i_podprugin, stating the account, the invoice number or the date and amount of the payment. The request is satisfied within ten days of being submitted.
Refunds are made by the same method used for payment. The time it takes for funds to arrive depends on the issuing bank and the payment provider and is usually one to ten business days.
If the User withdraws from a TaskAI spark pack, the price of the unused sparks is refunded, calculated pro rata to their number in the pack. Withdrawing from a pack does not affect the subscription.
10. Intellectual property
The exclusive rights to the Service, its source code, design, interfaces, databases, trademarks, logos and other protected elements belong to the Operator or are used by it on a lawful basis. These Terms do not transfer exclusive rights to the Service to the User.
The User is granted a limited, revocable, non-transferable right to use the Service for its intended purpose within the selected plan. Any other use of the Operator's intellectual property without its written consent is prohibited.
11. User Content
The exclusive rights to User Content remain with the User (or another rights holder). The Operator does not claim ownership of User Content.
By placing Content in the Service, the User grants the Operator a free, non-exclusive licence to store, reproduce, technically process, back up and display it solely to the extent necessary for the Service to function and to provide the services to the User, and to comply with the requirements of the law.
The User warrants that they hold all rights necessary for the Content placed and is solely responsible for its content and lawfulness.
12. Provision of the Service "as is"
The Service is provided on an "as is" and "as available" basis. The Operator does not warrant that the Service will meet the User's subjective expectations, will operate without errors or interruptions, or will be continuous, secure and error-free at all times.
The Operator gives no warranties, express or implied, including warranties of fitness of the Service for the User's particular purposes, to the maximum extent permitted by applicable law.
The Operator may carry out maintenance, technical and other work, temporarily restricting access to the Service, notifying the User where possible by available means.
13. Limitation of liability
To the maximum extent permitted by applicable law, the Operator is not liable for lost profit, indirect, incidental or punitive damages, or for loss of data, goodwill or other intangible losses arising from the use of, or inability to use, the Service.
The Operator is not liable for the acts of third parties, for failures of communication networks, equipment and software beyond the Operator's reasonable control, or for the content of User Content and the consequences of its placement.
14. Data preservation
The Operator takes reasonable measures to preserve the User's data but does not guarantee its absolute preservation and is not liable for loss of data caused by failures, the acts of third parties or force majeure.
15. Suspension and termination of access
If an invoice for members added in the middle of a paid period is not paid by its due date, the Operator may restrict the access of those members to read-only: the ability to view the team space materials is retained without the right to modify them. The restriction applies only to the members named in the unpaid invoice and does not affect the other members of the team space. Accounts and Content are not deleted.
The restriction is lifted automatically upon receipt of payment. Days a member spent in read-only are not included in the price of that seat (Section 7 of this Agreement). For the duration of the restriction the member loses the entitlement to the Pro plan for their personal space that is provided as part of the team subscription.
If the User breaches these Terms or the law, the Operator may suspend the User’s access to the Service until the breach is remedied, notifying the User of the reason by email unless otherwise provided by law. The Operator may withdraw from these Terms and delete the account only on grounds provided by law and, in respect of a User who uses the Service for business purposes, also in the event of a material or repeated breach of these Terms.
The Operator may at any time change, supplement, restrict or discontinue the functionality of the Service in whole or in part, including discontinuing support for free plans, endeavouring where possible to inform Users in advance of material changes.
The User may stop using the Service and delete their account at any time. Ceasing to use the Service does not release the User from obligations arising before such cessation.
16. Personal data
The User's personal data is processed in accordance with the Privacy Policy, which forms an integral part of these Terms. By accepting these Terms, the User confirms that they have read and agree with the Privacy Policy.
17. Force majeure
The parties are released from liability for the full or partial failure to perform their obligations if it results from force-majeure circumstances arising after acceptance of the Terms, including accidents, failures of communication and power networks, acts of government bodies and other circumstances beyond the parties' reasonable control.
18. Governing law and dispute resolution
These Terms and the parties' relations are governed by the law of the Russian Federation. All disputes are resolved through negotiation.
A pre-trial (claim) procedure for settling disputes is mandatory. The period for reviewing a claim is 30 (thirty) calendar days from its receipt. If agreement is not reached, the dispute is to be considered by a court at the Operator's place of location (registration) in accordance with the law of the Russian Federation, unless a different jurisdiction is established by mandatory rules of law.
19. Changes to the terms
The Operator may amend these Terms. A new version is published on the Service website together with its effective date. The Operator notifies registered Users of changes affecting their rights and obligations by email no later than 10 (ten) calendar days before the changes take effect.
Changes do not apply to subscription periods or packs already paid for: they are provided on the terms of the version in force on the date of payment. Taking out, renewing or paying for a subscription after the new version takes effect constitutes acceptance of it.
20. Final provisions
If any provision of the Terms is held invalid or unenforceable, this does not affect the validity of the remaining provisions.
All notices and requests are sent to the Operator at support@taska.be. Legally significant messages are deemed received by the User when sent to the email address specified in their account.
